Public offer agreement for access to OpsLab services — the free diagnostic scan and the Operations Watchdog subscription
In effect from 12 August 2026.
1. General Provisions and Acceptance
1.1. This document is an official public offer (the "Offer") by Individual Entrepreneur (FOP) Mykhailo Ivashchuk (the "Provider") to conclude a service agreement on the terms below with any legally capable natural or legal person (the "Customer"). The Provider and the Customer are together the "Parties".
1.2. The Offer is published at ops-audit.opslab.uk (WayForPay store: friendlyfix_com_ua; marketing site: opslab.uk) and remains in force indefinitely until withdrawn or replaced by the Provider.
1.3. Full and unconditional acceptance of this Offer is any of the following acts by the Customer: registering or creating an account, connecting a connector, clicking a confirmation/payment button, or actually using the Services. Upon acceptance the agreement is deemed concluded in written (electronic) form with the force of a document signed by the Parties.
1.4. By accepting the Offer the Customer confirms that it has read and agrees to this Offer as well as to the Privacy Policy, Terms of Use, Cookie Policy, Security Statement and Refund Policy published on the site. If the Customer disagrees with any term, it must refrain from acceptance.
2. Definitions
2.1. "Services" means the Provider's software products and services: (a) the "Chaos Scanner / Quick Scan" — a free diagnostic audit of operational processes; (b) "Operations Watchdog" — a paid subscription for continuous operations monitoring; (c) "Human services" (Fractional Operations Partner, Booster, Talent) — services scoped per case.
2.2. "Quick Scan" means a free one-off audit producing an Operations Chaos Score and a 30-day action plan.
2.3. "Subscription" means access to Operations Watchdog on a recurring (monthly) basis with automatic renewal.
2.4. "Connector" means an integration that lets the Services read data from systems selected by the Customer; where technically possible, connectors operate read-only.
2.5. "Plan" means the subscription terms chosen by the Customer: Pulse (EUR 99/mo, 1 connector), Growth (EUR 299/mo, up to 4 connectors), Command (EUR 599/mo, no numeric cap, subject to reasonable use).
2.6. "WayForPay" means the payment service provider that processes payments; the Provider does not store full payment card details.
2.7. "Account" means the Customer's data identifying it within the Services.
3. Subject of the Agreement
3.1. The Provider grants the Customer access to the Services, and the Customer, where a paid Service is selected, pays for it on the terms of this Offer and the chosen Plan.
3.2. The Quick Scan is provided free of charge and creates no monetary obligation for the Customer.
3.3. Operations Watchdog is provided as software-as-a-service (SaaS) with remote access over the Internet, without transferring to the Customer any copy of the software or exclusive proprietary rights.
3.4. The specific systems connected, the scope of data read and the purpose of processing are disclosed to the Customer before its consent to each connector is obtained (screens /connect, /watchdog/intake, /watchdog/consent).
3.5. Human services are provided on the basis of a scope of work agreed separately by the Parties and may be governed by additional arrangements as to fees and timing.
4. Price, Payment and Recurring Auto-Renewal
4.1. Subscription fees are set in euros per the Plans (cl. 2.5). Charges are processed via WayForPay; the exact amount in Ukrainian hryvnia (UAH) at the applicable rate is shown to the Customer before payment is authorized.
4.2. The Subscription is a RECURRING payment: after the first payment, the fee for each following billing period is charged automatically to the Customer's payment method without further confirmation, until the Customer cancels. By accepting this Offer and making the first payment, the Customer consents to such recurring automatic charges.
4.3. The billing period is one calendar month from the date of the first payment, unless stated otherwise at checkout.
4.4. The Provider may change prices for future periods on at least 14 days' notice before the next charge (by email and/or in the interface). If the Customer disagrees, it may cancel before the next charge; continuing to use the Services after the new price takes effect constitutes acceptance of it.
4.5. Any taxes or duties arising for the Customer in its jurisdiction are the Customer's responsibility. The Provider pays its own taxes under the laws of Ukraine.
5. Provision of Access and Commencement of Services
5.1. Access to Operations Watchdog is granted immediately (or as soon as technically possible) after a successful first payment and connection of at least one connector.
5.2. The Customer agrees that provision of the service (monitoring) begins immediately upon activation and expressly requests that provision begin before the expiry of any cooling-off period referred to in Section 7.
5.3. For the Services to function, the Customer maintains valid access/tokens to connected systems and the accuracy of the data provided. The Provider is not liable for an inability to provide the service caused by revoked access, third-party API changes, or the Customer's own actions.
5.4. The Services are provided remotely; the Customer is responsible for its own Internet connection and compatible equipment.
6. Cancellation and Refunds
6.1. The Customer may cancel the Subscription at any time via the account interface or by contacting support (see Section 13). Cancellation stops further automatic charges.
6.2. After cancellation, access continues until the end of the already-paid billing period; no refund is made for the unused part of the current period, except as provided in Section 7 or by mandatory law.
6.3. The terms and procedure for refunds are set out in detail in the Refund Policy (/refund), which forms an integral part of this Offer. In case of conflict between this section and the Refund Policy, the provision more favourable to the consumer Customer prevails.
7. Consumer Rights and Cooling-Off Period (14 Days)
7.1. Where the Customer is a consumer within the meaning of EU consumer-protection law, it has the right to withdraw from the agreement within 14 calendar days of its conclusion without giving reasons.
7.2. The Customer acknowledges that for digital services with immediate access, the right of withdrawal is lost once the service has been fully performed, provided performance began with the Customer's prior express consent and its acknowledgement that the right of withdrawal is thereby lost (cl. 5.2). For a service partially performed before withdrawal, a proportionate amount for the part actually supplied may be retained.
7.3. To exercise the right of withdrawal, it suffices to send an unequivocal statement to the contact address in Section 13 before the 14-day period expires. The Provider refunds the amount due without undue delay by the same means of payment.
7.4. Nothing in this Offer limits or excludes the mandatory rights a consumer has under the law of its country of habitual residence; those rights apply regardless of the law chosen for this agreement.
8. Intellectual Property and Licence
8.1. All intellectual property rights in the Services, source code, algorithms, interfaces, reports, scores (including the Operations Chaos Score) and other materials belong to the Provider or its licensors.
8.2. For the term of the agreement, the Provider grants the Customer a non-exclusive, non-transferable, revocable licence to use the Services solely for their intended function and for the Customer's internal purposes.
8.3. The Customer must not copy, decompile, modify, resell or grant third parties access to the Services without the Provider's written consent.
8.4. The Customer's data and audit outputs relating to the Customer's business remain the Customer's property; the Provider is granted the right to process them to the extent needed to provide the Services. The Provider may use anonymised and aggregated data to improve the Services.
9. Confidentiality and Personal Data Protection
9.1. The Parties undertake to keep confidential information obtained in performing the agreement and not to disclose it to third parties except as required by law or this agreement.
9.2. The Provider processes personal data in accordance with the Privacy Policy (/privacy) and the requirements of the GDPR (where applicable) and Ukrainian personal-data law. The Provider acts as controller of the Customer's account data and as processor/controller of data read via connectors, as described in the Policy.
9.3. WayForPay acts as an independent processor of payment data; the Provider has no access to full payment card details.
9.4. The scope of data read by each connector, the purpose and the legal basis for processing are disclosed before the Customer's consent is obtained; where technically possible, read-only mode applies.
9.5. The Customer has data-subject rights (access, rectification, erasure, restriction, portability, objection, withdrawal of consent), exercisable via the contacts in Section 13. The Provider applies the organisational and technical security measures described in the Security Statement (/security).
10. Warranties and Limitation of Liability
10.1. The Services are provided "as is" and "as available". The Provider makes reasonable efforts to keep them operational but does not warrant that they are error-free, continuously available, or that outputs are fit for the Customer's specific decisions.
10.2. The scores, reports and recommendations produced by the Services are informational and diagnostic in nature and do not constitute legal, financial or other professional advice. The Customer makes decisions based on them independently and at its own risk.
10.3. To the maximum extent permitted by law, the Provider's aggregate liability for all claims relating to the agreement is limited to the amount actually paid by the Customer for the Services during the three (3) months preceding the event giving rise to the claim.
10.4. The Provider is not liable for indirect, incidental or punitive damages, lost profits, loss of data or goodwill, or for failures of third parties (API providers, WayForPay, hosting, communications channels).
10.5. Nothing in this section limits liability that cannot be limited by law (including for intent, gross negligence, or harm to life and health), nor the mandatory rights of consumers.
11. Term, Amendments to the Offer and Termination
11.1. The agreement takes effect on acceptance and continues until the Parties have fully performed their obligations or until terminated under this section. The Subscription runs on a recurring basis until cancelled.
11.2. The Provider may unilaterally amend the terms of this Offer by publishing a new version on the site. Subscribers are notified of material changes at least 14 days in advance. Continued use of the Services after changes take effect constitutes acceptance of them.
11.3. The Provider may suspend or terminate access in case of a material breach by the Customer, non-payment, misuse of the Services, or legal requirements, notifying the Customer where possible.
11.4. Termination does not release the Parties from obligations that arose before termination. Provisions on IP, confidentiality, data and liability survive termination.
12. Governing Law and Dispute Resolution
12.1. The agreement is governed by the substantive law of Ukraine, without regard to conflict-of-law rules.
12.2. The choice of Ukrainian law does not deprive the consumer Customer of the protection afforded by the mandatory rules of the law of its country of habitual residence (including in the EU).
12.3. The Parties seek to resolve disputes by negotiation. Failing agreement, a dispute is submitted to the competent court at the Provider's location, unless mandatory rules on jurisdiction over consumer disputes provide otherwise.
12.4. Consumers in the EU may, where applicable, use the European Commission's Online Dispute Resolution (ODR) platform.
